Terms of Service
The agreement between your organisation and ours. Written to be read, not to be survived.
Last updated: September 2026
Who this agreement binds.
These terms govern access to NexReps, operated by i2afusion Inc., a company incorporated in Ontario, Canada ("NexReps", "we"), by the customer organisation ("you").
The service is for business use only. It is not offered to consumers.
Acceptance follows from signing an order, creating an account, or using the service, whichever comes first. Whoever accepts represents that they have authority to bind their organisation.
What you get, and what stays ours.
NexReps collects data from your point-of-sale systems and purchasing documents, and gives you dashboards, reports, sales forecasts, production cost tracking and accounting exports.
We grant you a non-exclusive, non-transferable, revocable right to access the service for the term of the contract, for your internal business purposes.
The software, its code, architecture, analytical models, interface and documentation remain our exclusive property. No right other than the access right described above is granted to you. You may not decompile the service, reproduce it, resell it, or use it to develop a competing product.
We may change the service over time. We will not remove substantial functionality without giving you at least thirty days' notice.
Yours, and it stays yours.
Your data belongs to you. We acquire no ownership over it.
We process it only to provide the service, in accordance with our privacy policy. We do not sell it, do not share it with any third party for that party's own purposes, and do not use it for advertising, marketing or commercial profiling.
We may produce and use aggregated, anonymised data derived from use of the service, to build sector benchmarks and statistics, to improve our forecasting and analytics models, and to develop the service. Such data is produced so that no individual, venue or organisation can be identified from it. We do not attempt re-identification and we authorise no third party to do so. No identifiable data, no figures attributable to a venue and no source documents are disclosed to third parties in this context.
What we need from you.
Valid credentials
Provide working access credentials to your point-of-sale systems, and hold the right to share them with us.
User management
Manage your users, their roles and their access. You are answerable for actions taken from your organisation's accounts.
Credential security
Protect credentials. Two-factor authentication is mandatory for organisation administrators.
Document limits
Do not upload documents containing personal data beyond what an ordinary commercial invoice holds — no employment contracts, no identity documents, no HR files.
Employee notice
Inform your employees that their operational data is processed in the service, and answer their requests as the controller.
No circumvention
Do not attempt to access another organisation's data or to bypass security mechanisms.
Not a basis for employment decisions.
The service surfaces individual performance indicators, including sales per server. These are provided for operational purposes.
You agree not to base an employment decision — dismissal, disciplinary action, refusal of promotion or change in compensation — on data from the service alone, without independent human review.
Informational, not certified.
The data, indicators, costs, forecasts and exports produced by the service are provided for informational and operational purposes.
They are not financial statements, and they are not accounting, tax, legal or financial advice. You remain solely responsible for verifying them before any accounting, filing or contractual use.
The service depends on data transmitted by third-party systems — points of sale, scanned documents — over which we have no control. We do not guarantee their completeness, accuracy or availability.
Forecasts are statistical estimates based on historical data. They are no guarantee of outcome.
Reasonable efforts, no uptime figure.
We use commercially reasonable efforts to keep the service available.
We offer no numerical availability commitment. The service may be interrupted for maintenance, updates, or because of a third-party provider failure. Planned interruptions are announced in advance where possible.
Pricing and billing.
Applicable rates
Those of the current price list or the signed order form, in Canadian dollars, exclusive of tax. Applicable taxes are billed in addition.
Payment terms
Thirty days from the invoice date, by the means we indicate.
Late payment
Interest of 1.5% per month on any amount unpaid at maturity.
Suspension
Possible after thirty days of non-payment, with written notice.
No refunds
Amounts paid are not refundable, including pro rata on early termination.
Price changes
We may change our rates with sixty days' notice, applicable at the following renewal.
Export first, then it is gone.
The contract runs monthly or annually depending on the plan, and renews automatically for equal periods. Either party may end it on thirty days' written notice before the end of the current period.
We may terminate immediately for a material breach not cured within fifteen days of formal notice, including persistent non-payment, unauthorised use, or compromise of the security of the service.
You may request an export of your data in writing, in your notice of termination or at the latest by its effective date. The export is provided in a standard machine-readable format.
After that date, data is permanently deleted from our active systems and disappears from backup copies within a maximum of thirty days. Deletion is immediate, cascades to every record attached to your organisation, and is irreversible. If we end the service, we allow you thirty days to make that request before any deletion.
Warranties and limits.
The service is provided "as is". To the extent permitted by law, we exclude all implied warranties, including merchantability, fitness for a particular purpose and freedom from error.
Our total liability, on any basis, is limited to the amounts you actually paid us in the twelve months preceding the event giving rise to the claim.
We are in no case liable for indirect damages, loss of profit, loss of goodwill, loss of data or business interruption.
These limitations do not apply to gross negligence, wilful misconduct, or anything the law forbids limiting.
Each party protects the other's confidential information and uses it only to perform the contract. That obligation survives three years beyond the end of the contract. It does not cover public information, information already known without a duty of confidence, or disclosure legally required.
Who covers what.
You indemnify us against any third-party claim arising from your data, from your use of the service in breach of these terms, or from failure to inform your employees.
We indemnify you against any claim that the service, used in accordance with these terms, infringes a third party's intellectual property right.
Neither party is liable for a failure caused by an event beyond its reasonable control, including a failure of a hosting provider, a telecommunications operator or a point-of-sale vendor. The obligation to pay sums due is not suspended.
The rest.
Governing law
The laws of the Province of Ontario and the federal laws of Canada applicable there.
Courts
The courts of Toronto, Ontario. This does not deprive anyone of a right of action reserved to them by the law of their residence.
Assignment
You may not assign the contract without our written consent. We may assign it in a reorganisation, merger or sale of assets.
Entire agreement
These terms, the privacy policy, the data processing agreement and the order form form the whole of the agreement.
Severability
If one clause is invalid, the others stand.
Changes
We may amend these terms with thirty days' notice. Continued use is acceptance.
